
GENERAL TERMS AND CONDITIONS
These general terms and conditions define the terms and conditions under which
VD Ads Consulting LLC provides consulting and support services in SEA, tracking and digital strategy.
1. Purpose
These General Terms of Services aim to define the conditions under which VD Ads Consulting LLC provides consulting, management, and optimization services in Search Engine Advertising (SEA), as well as services related to tracking and digital performance analysis.
2. Services Provided
VD Ads Consulting LLC notably offers the following services:

Creation, structuring, and optimization of Google Ads campaigns

Ongoing campaign management (bidding, ads, targeting, budgets, exclusions)

Implementation and monitoring of tracking systems (Google Tag Manager, Google Analytics 4, conversions, custom events)
-
Periodic reporting and strategic recommendations
Any service not included in the above (SEO, Meta Ads, content creation, landing pages, etc.) will be subject to a separate quotation.
3. Duration of Services
Unless otherwise stated in a specific quotation or contract, services are agreed for a firm minimum period of three (3) months from the validation date.
In the case of a one-time project or a simple audit, the contract duration will be determined and validated by both parties.
At the end of this period, the contract automatically terminates unless expressly renewed by mutual agreement.
4. Financial Terms
Services are invoiced according to the terms defined in the quotation or contract signed by the client.
All amounts are stated excluding VAT, where applicable.
In the event of a payment delay exceeding ten (10) days, VD Ads Consulting LLC reserves the right to temporarily suspend the services, including advertising campaign management, until full payment is received.
5. Obligations of VD Ads Consulting LLC
VD Ads Consulting LLC undertakes to:

Apply the best practices in the SEA industry

Ensure transparent monitoring through reports and/or direct access to accounts

Respect the confidentiality of the client’s data

Guarantee compliance with Google Ads policies and GDPR requirements

Inform the client of any malfunction or suspension affecting campaigns
6. Client’s Obligations
The client undertakes to:

Provide all necessary access (Google Ads, GTM, GA4, website, etc.)

Pay invoices according to the agreed deadlines
-
Actively collaborate (validation of ads, budgets, settings)

Not modify major account settings without prior consultation
7. Ownership and Access to Accounts

The client retains full ownership of their advertising accounts and tracking tools

VD Ads Consulting LLC acts exclusively as a technical and strategic service provider
-
At the end of the collaboration, all access and data remain the client’s property
-
Any unauthorized removal of access constitutes a serious contractual breach
8. Liability
VD Ads Consulting LLC is bound by an obligation of means, not of results.
No specific quantitative result (ROI, number of leads, conversion rate, etc.) can be guaranteed, as performance depends on numerous external factors (market conditions, competition, algorithms, budget).
The liability of VD Ads Consulting LLC is strictly limited to the total amount paid for the contractual period concerned.
9. Confidentiality
Both parties agree to maintain the confidentiality of all information exchanged within the framework of the services.
This obligation remains in force for two (2) years after the end of the collaboration.
10. Governing Law and Jurisdiction
These General Terms are governed by the laws of the State of New Mexico (United States), subject to any mandatory provisions applicable to the client.
In the event of a dispute, the parties agree to seek an amicable solution within thirty (30) days.
Failing that:

The courts of New Mexico shall have jurisdiction if the action is initiated by the client

The courts of Brussels (Belgium) shall have jurisdiction if the action is initiated by VD Ads Consulting LLC
Electronic communications (emails, electronic signatures, online-validated quotations) shall have evidential value.
